The Cyber Breakfast Club® Member Subscription Agreement

1.1 Individual Membership. You subscribe on your own behalf. You are the Member and are personally responsible for all fees. An Individual Membership covers one (1) person.

1.2 Business Membership. You subscribe on behalf of the company named in the registration form (the "Company"). The Company is the Member and is responsible for all fees. You represent that you have authority to bind the Company to this Agreement. A Business Membership covers two (2) named individuals who are employees of the Company ("Authorized Users"). Authorized User access is personal and may not be shared. The Company may substitute an Authorized User by written notice to support@cyberbuyer.io. Certificates of attendance are issued only in an Authorized User's own name.

1.3 Eligibility. The Club is a private, invitation-based community for cybersecurity practitioners and executives. Sales professionals may not attend Club meetings as Members. We may decline or revoke any membership at our discretion, subject to Section 7.

2.1 Paid membership includes the benefits described on the Club website at the time of sign-up, which may include attendance reporting and certificates of attendance, access to multiple chapters, and access to designated Club events.

2.2 Certificates of attendance confirm attendance only. Certificates of attendance confirm attendance only and are not credit awards. You are responsible for confirming that attendance qualifies under the rules of any certifying body. Certificate requests must be made within thirty (30) days of the meeting; later requests may not be honored.

2.3 We may add, change, or discontinue benefits, meeting formats, schedules, chapters, and speakers. Free access to the Club is separate from, and not governed by, this Agreement.

3.1 Initial Term. Your membership begins on the date and time you accept this Agreement (the "Effective Date") and continues for twelve (12) months (the "Initial Term").

3.2 Automatic Month-to-Month Renewal. After the Initial Term, your membership automatically continues on a month-to-month basis, and you will be charged the then-current monthly fee each month, until you cancel under Section 4.

4.1 During the Initial Term. You commit to the full Initial Term. If you cancel before the Initial Term ends, the remaining monthly fees for the Initial Term remain due, and we may charge them to your payment method on file.

4.2 After the Initial Term. You may cancel at any time by giving thirty (30) days' notice by email to support@cyberbuyer.io from the email address on your account, or through any online cancellation method we provide. Your membership ends at the end of the billing period in which the 30-day notice period expires. You may submit cancellation notice during the last thirty (30) days of the Initial Term to stop membership at the end of the Initial Term.

4.3 We will confirm receipt of your cancellation by email. If you do not receive confirmation within three (3) business days, contact us at 980.729.6328.

5.1 Fee. The membership fee is fifteen U.S. dollars ($15.00) per month for an Individual Membership and twenty-five U.S. dollars ($25.00) per month for a Business Membership, plus applicable taxes. The fee for your membership type is shown on the registration form.

5.2 Billing. You authorize CYBER BUYER and its third-party payment processor to charge your payment method on the Effective Date and on the same day each month thereafter. You are responsible for keeping payment information current.

5.3 Failed Payments. If a payment fails, we may retry the charge and may suspend membership benefits until payment is received. If any fee remains unpaid for more than thirty (30) days after its due date, we may cancel your membership, and any remaining Initial Term fees remain due.

5.4 Price Changes. The monthly fee will not change during the Initial Term. After the Initial Term, we may change the fee with at least thirty (30) days' notice by email. Continued membership after the change takes effect means you accept the new fee.

5.5 No Refunds. Fees are non-refundable, including for partial months and unused benefits, except where required by law.

5.6 Reinstatement Fee. A one-time reinstatement fee of fifty U.S. dollars ($50.00) applies to reinstate (a) a membership that is more than thirty (30) days past due, or (b) a cancelled membership, whether cancelled by you or by us. To reinstate, you must pay the reinstatement fee plus all past-due amounts. A reinstated past-due membership continues its existing term. A reinstated cancelled membership begins a new twelve (12) month Initial Term on the reinstatement date at the then-current monthly fee. The reinstatement fee is non-refundable. We may decline reinstatement of a membership terminated for breach under Section 7.

6.1 Club meetings are live-only and are not recorded or published. You agree not to record, transcribe, or publish meeting content, and to respect the confidentiality of discussions and of other Members' identities and comments.

6.2 You agree not to use Club meetings or Member contact information to solicit or sell products or services.

6.3 You agree to treat other Members, hosts, speakers, and sponsors professionally and respectfully.

We may suspend or terminate your membership if you breach this Agreement. If we terminate for breach, no refund is due and any remaining Initial Term fees remain payable. If we terminate for any other reason, we will refund any prepaid fees for the period after termination, and no further fees will be due.

The Cyber Breakfast Club®, CYBER BUYER®, Breach Tank™, Coyote Brown™, and related logos are trademarks of CYBER BUYER LLC. Membership grants no license to use them. Materials shared in meetings remain the property of their owners.

We collect and use your registration information to manage your membership, track attendance, issue certificates, and send Club communications, as described in our Privacy & Terms. You consent to receive transactional emails about your membership. You may opt out of marketing emails at any time.

10.1 Club meetings and content are provided "as is" for professional networking and educational purposes. Views expressed by Members, speakers, and sponsors are their own and are not professional advice from CYBER BUYER.

10.2 To the maximum extent permitted by law, CYBER BUYER will not be liable for any indirect, incidental, special, or consequential damages. CYBER BUYER's total liability under this Agreement will not exceed the fees you paid in the twelve (12) months before the claim.

11.1 Governing Law and Venue. This Agreement is governed by the laws of the State of North Carolina. Any dispute will be brought in the state or federal courts located in Mecklenburg County, North Carolina.

11.2 Electronic Acceptance. You agree that checking the acceptance box and clicking "Accept and Subscribe" is your electronic signature and has the same effect as a handwritten signature. We will record the date, time, and details you submit as evidence of acceptance.

11.3 Changes to this Agreement. We may update this Agreement with thirty (30) days' notice by email. Changes do not alter the fee or length of a current Initial Term.

11.4 Entire Agreement. This Agreement, together with the registration information you submit, is the entire agreement about paid membership. If any provision is unenforceable, the rest remains in effect. You may not assign this Agreement without our consent.
